Terms of Service

Section 1 — Introduction
These Terms and Conditions ("Terms") govern your use of the TipPot platform ("Platform", "Service"), operated by Seven Seas Network LTD, a company registered in England and Wales ("we", "us", "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
Section 2 — Definitions
- "Platform" — the TipPot web and mobile applications and associated services.
- "User" — any individual accessing the Platform.
- "Venue" — a business entity using TipPot to manage tip distribution.
- "Admin" — a venue owner or authorised administrator.
- "Manager" — an individual authorised by a Venue to manage shifts, tips, and staff.
- "Staff Member" — an individual linked to a Venue account.
- "Data" — any information entered into or generated by the Platform.
Section 3 — Eligibility
To register as an Admin or Manager, you must: be at least 18 years of age, have authority to act on behalf of the Venue, and provide accurate, complete, and current information. Staff Members may be under 18 where they are lawfully employed by the Venue. See Section 20.
Section 4 — Account Registration and Security
You are responsible for: keeping login credentials secure and confidential, all activity that occurs under your account, and notifying us immediately at tippot.support@gmail.com of any unauthorised access. We reserve the right to suspend or terminate accounts where information provided is inaccurate or misleading, these Terms are breached, or suspicious or harmful activity is detected.
Section 5 — Service Description
TipPot provides software tools to assist venues with: tip and gratuity tracking and distribution logging, shift management and operational records, staff performance incentives and goals, tronc period management and payout records, and analytics and reporting.
TipPot does not: hold, process, or transmit tip payments, act as an employer, payroll provider, or financial intermediary, or provide legal, tax, or employment advice.
Section 6 — Employment (Allocation of Tips) Act 2023
The Employment (Allocation of Tips) Act 2023 requires that all tips, gratuities, and service charges are passed to workers fairly and that venues maintain a written tips policy. TipPot provides tools to assist venues in meeting these obligations. However: compliance with the Act remains the sole responsibility of the Venue, TipPot does not verify or enforce compliance, and venues should seek independent legal advice regarding their obligations under the Act. Seven Seas Network LTD accepts no liability for a Venue's failure to comply with the Act.
Section 7 — Role of Seven Seas Network LTD
Seven Seas Network LTD provides software tools only. We do not: control tip distribution decisions, employ or manage staff, or guarantee financial outcomes or accuracy of calculations. All operational, financial, and employment decisions remain the sole responsibility of the Venue.
Section 8 — User Responsibilities
You agree that: all data entered into the Platform is accurate, complete, and lawful, you comply with all applicable employment, tax, tipping, and data protection laws, you have authority to upload and process staff data on behalf of the Venue, and you have informed staff of how their data is used on the Platform.
You must not: use the Platform for any unlawful purpose, enter false, misleading, or fraudulent data, attempt to reverse engineer, copy, exploit, or circumvent the Platform or its systems, or interfere with the security or integrity of the Platform.
Section 9 — Tips and Financial Disclaimer
TipPot is a tracking and record-keeping tool only. We are not responsible for: how tips are calculated or distributed, disputes between staff and employers regarding tip allocation, any financial losses arising from reliance on the Platform, or errors in data entered by Users. TipPot does not independently verify the accuracy of tip amounts, hours worked, or any other data entered by Users. All financial decisions remain the responsibility of the Venue. Any disputes regarding tip allocation should be resolved directly between the Venue and its staff.
Section 10 — Data Protection and Privacy
We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. In respect of staff data entered by the Venue: the Venue acts as the Data Controller and Seven Seas Network LTD acts as the Data Processor. In respect of account and platform operational data: Seven Seas Network LTD acts as the Data Controller.
Data processed may include: staff names, email addresses, roles, shift records, hours worked, tip and bonus allocations, and performance data. The Venue confirms that it has a lawful basis for processing staff personal data, has provided appropriate privacy information to staff, complies with all applicable data protection laws, and where staff are under 18, appropriate safeguards are in place.
Under UK GDPR, you have the right to access, correct, restrict, object to, port, or erase your personal data. Contact tippot.support@gmail.com. We will respond within 30 days. Personal data is retained for the duration of active platform use and anonymised within 30 days of an erasure request. Financial records including tip payout amounts and tronc allocations are retained for a minimum of 3 years to comply with HMRC payroll record-keeping requirements.
Section 11 — Analytics and Automated Insights
The Platform may generate insights, analytics, and recommendations based on data entered by Users. These outputs are for informational purposes only and do not constitute automated decision-making as defined under UK GDPR. All employment, compensation, and operational decisions remain the responsibility of the Venue.
Section 12 — Intellectual Property
All intellectual property rights in the Platform, including software, design, trademarks, and content, remain the property of Seven Seas Network LTD. You may not: copy, modify, adapt, or distribute any part of the Platform, use our name, logo, or branding without prior written permission, or create derivative works based on the Platform.
Section 13 — Service Availability
We aim to provide a reliable and secure service but do not guarantee continuous or uninterrupted availability or error-free performance at all times. We may suspend access for scheduled or emergency maintenance and will provide reasonable advance notice where possible. We reserve the right to modify, update, or discontinue features with reasonable notice.
Section 14 — Limitation of Liability
To the fullest extent permitted by applicable law, Seven Seas Network LTD shall not be liable for: loss of profits, revenue, data, or business opportunity, employment or tipping disputes between Venues and staff, incorrect or incomplete data entered by Users, business interruption or operational losses, or any indirect, consequential, or special loss.
Our total aggregate liability in respect of any claim shall not exceed the total fees paid by the User to Seven Seas Network LTD in the 12 months preceding the claim. Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded by law.
Section 15 — Indemnity
You agree to indemnify, defend, and hold harmless Seven Seas Network LTD and its officers, employees, and agents from and against any claims, losses, damages, and expenses (including reasonable legal fees) arising from: your breach of these Terms, your misuse of the Platform, employment, payroll, or tip-related disputes at your Venue, or your failure to comply with applicable laws.
Section 16 — Fees and Payments
Where applicable, subscription fees and pricing will be clearly communicated before purchase. Payments are non-refundable unless required by applicable consumer law. We reserve the right to introduce new paid features or amend pricing with reasonable advance notice. Continued use of the Platform following a price change constitutes acceptance of the new pricing.
Section 17 — Termination
We may suspend or terminate your access to the Platform if these Terms are materially breached, the Platform is misused or accessed fraudulently, or as required by law or regulation. You may terminate your use at any time by closing your account. Termination does not affect any rights or obligations that arose prior to termination.
Section 18 — Changes to Terms
We may update these Terms from time to time to reflect changes in our services or applicable law. Where changes are material, we will provide reasonable notice via the Platform or by email. Continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms.
Section 19 — Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Section 20 — Minors (Under 18 Staff Members)
Staff Members under the age of 18 may use the Platform where lawfully employed or engaged by a Venue. Seven Seas Network LTD does not knowingly collect personal data directly from individuals under 18 independently of a Venue relationship. The Venue confirms that it has a lawful basis for processing data relating to individuals under 18, complies with all applicable employment and child protection laws, and has provided appropriate privacy information to staff under 18 and where required obtained consent from a parent or guardian. Seven Seas Network LTD acts solely as a data processor in this context and accepts no responsibility for the Venue's compliance obligations in respect of minors.
Section 21 — Complaints
If you have a complaint about the Platform or how your data has been handled, please contact us in the first instance at tippot.support@gmail.com. If you are not satisfied with our response, you have the right to lodge a complaint with the Information Commissioner's Office (ICO) at ico.org.uk or by calling 0303 123 1113.
